1. Introduction
Welcome to NAAD, a vocal practice and pitch-training application developed and provided by NEXPER Pty Ltd (“NEXPER”, “we”, “us” or “our”).
These Terms of Service (“Terms”) govern your access to and use of NAAD on supported platforms, including iOS, iPadOS, macOS and Android.
Please read these Terms carefully before using NAAD. By downloading, accessing or using NAAD, you acknowledge these Terms, and your use is subject to them to the extent permitted by applicable law.
If you do not agree with these Terms, you should discontinue using the application.
2. About NAAD
NAAD is a music practice application designed to help singers and music learners develop pitch awareness, improve intonation, analyse vocal performances and practise independently.
Depending on the application version and supported platform, NAAD may provide:
- Real-time vocal pitch detection and visualisation.
- Vocal recording and playback.
- Pitch and timing analysis.
- Reference audio import and analysis.
- Comparison between vocal performances and reference tracks.
- Pitch transposition and practice-loop controls.
- Practice-session review and progress tracking.
- Other musical learning and practice tools.
The availability of individual features may vary across platforms, devices and application versions.
NAAD is intended as a personal music learning and practice tool. It does not guarantee specific improvements in vocal ability, musical performance or professional outcomes.
3. Free Access and Future Pricing
NAAD is currently provided free of charge.
Users may access the functionality included in the current free release without a purchase fee or subscription.
However, NEXPER reserves the right to introduce paid features, premium functionality, subscriptions, usage limits or alternative pricing models in future releases.
Features currently offered free of charge may become part of paid offerings in subsequent versions, subject to applicable laws and any commitments made to users.
NEXPER does not guarantee that all existing or future functionality will remain free indefinitely.
Any future pricing, subscription conditions, renewal terms and applicable charges will be clearly disclosed before a user agrees to a purchase.
Users will not be charged retrospectively for previous free usage.
No paid subscription or purchase will be initiated without the user's authorisation.
Any future purchases or subscriptions made through Apple's App Store or Google Play may also be subject to the relevant platform's billing, cancellation and refund arrangements.
Nothing in this section limits your rights under applicable consumer protection laws.
4. Offline Functionality and Future Services
NAAD's initial release is designed primarily around local, on-device audio processing and vocal practice.
Core vocal analysis functionality is intended to operate without requiring an internet connection.
Some non-core operations, including downloading updates, accessing external legal information or using operating-system services, may require connectivity.
Future versions of NAAD may introduce optional services requiring internet connectivity, user accounts or external processing.
Such functionality will be accompanied by appropriate disclosures, permissions and additional terms where required.
The availability of future services is not guaranteed.
5. Artificial Intelligence Features
NAAD's initial public release does not include an active AI Coach service.
NEXPER may introduce optional artificial-intelligence-assisted functionality in future versions, including personalised practice recommendations, performance insights or conversational coaching.
Any such features may be subject to additional conditions, privacy disclosures, usage limits or charges.
Where external AI services are used, appropriate notice and consent will be provided before personal information or practice data is transmitted, where required by applicable law.
NAAD will not treat acceptance of these Terms alone as permission to transmit personal recordings or other protected information to third-party AI providers.
Any future AI-generated recommendations should be treated as general musical guidance rather than guaranteed or professionally certified assessments.
6. Microphone Access and Audio Processing
NAAD may require microphone access to detect vocal pitch, analyse singing and support recording features.
Microphone access is governed by the permissions provided through your device's operating system.
You may revoke microphone access through your device settings, although doing so may prevent certain features from functioning.
NAAD may process audio signals to calculate pitch, timing, frequency information and other musical characteristics.
Audio analysis may be influenced by background noise, microphone quality, device performance and other technical factors.
Results are estimates and should not be regarded as perfectly accurate measurements.
7. User Recordings and Local Data
NAAD may allow users to create, store, review, export or delete recordings and related practice information.
You retain your applicable ownership rights in original recordings and content you create.
NEXPER does not acquire ownership of your original vocal performances merely because you use NAAD.
Depending on the application version and device configuration, locally stored content may include:
- Vocal recordings.
- Imported reference audio.
- Pitch-analysis results.
- Practice-session information.
- Application preferences and settings.
You are responsible for maintaining appropriate backups of content important to you.
Uninstalling NAAD, clearing application storage or changing devices may result in the loss of locally stored information.
The handling of recordings and related information is further described in the NAAD Privacy Policy.
8. Imported Music and Copyright
NAAD may allow users to import audio files for personal practice, pitch comparison and musical analysis.
You are responsible for ensuring that you have the necessary rights, licences or permissions to use any imported audio.
NAAD does not grant ownership or usage rights over third-party recordings, musical compositions or performances.
You must not use NAAD to reproduce, distribute or otherwise exploit copyrighted material unlawfully.
NEXPER is not responsible for copyright infringement arising from material that users independently import or distribute.
9. Vocal Health and Safe Practice
NAAD is intended for musical practice and educational assistance.
It is not a medical device and does not provide medical diagnosis, treatment or professional healthcare advice.
Users should practise responsibly and avoid vocal activities that cause pain, excessive strain or discomfort.
We recommend:
- Singing within a comfortable vocal range.
- Warming up appropriately before demanding exercises.
- Taking regular breaks.
- Avoiding excessive vocal force.
- Maintaining safe headphone and playback volumes.
- Stopping practice when experiencing pain or unusual vocal discomfort.
If you experience persistent voice problems, seek advice from a suitably qualified healthcare professional.
NAAD's pitch visualisations and other feedback do not replace the judgement of a qualified vocal instructor.
10. Acceptable Use
You agree to use NAAD lawfully and responsibly.
You must not:
- Use NAAD to infringe another person's intellectual property or privacy rights.
- Attempt to compromise the security or integrity of the application.
- Distribute modified versions of proprietary application components without authorisation, except where permitted by law or applicable licences.
- Circumvent technical restrictions unlawfully.
- Use the application for fraudulent, abusive or otherwise unlawful activities.
Nothing in these Terms restricts rights that cannot legally be excluded, including applicable statutory rights relating to software interoperability, security research or reverse engineering.
11. Intellectual Property
NAAD, including its original software, visual design, branding, documentation and other proprietary materials, is owned by NEXPER or its licensors.
Subject to these Terms and applicable law, NEXPER grants you a limited, personal, non-exclusive, non-transferable licence to use NAAD on supported devices.
This licence does not transfer ownership of the application or its intellectual property.
Any third-party libraries or open-source components remain subject to their respective licences.
Your rights in your own recordings and other original user-created content remain unaffected.
12. Application Updates and Feature Changes
NEXPER may release updates to improve functionality, compatibility, security, accessibility or performance.
We may add, modify, restrict or discontinue features where reasonably necessary.
Changes may include introducing premium functionality, modifying available tools or replacing existing implementation technologies.
We will provide appropriate notice of material changes where required.
We do not guarantee indefinite compatibility with every operating-system version, hardware device or audio format.
13. Privacy and Data Protection
NEXPER respects user privacy.
NAAD's initial release is designed to support local audio analysis without requiring a cloud account for core vocal practice functionality.
Information about microphone permissions, recordings, local storage, analytics (if any), external services and data handling is provided in the separate NAAD Privacy Policy.
Where future functionality involves external processing or additional personal-information collection, we will provide relevant privacy disclosures and obtain consent where required.
Users should consult the Privacy Policy for information about their privacy rights and available controls.
14. Availability and Technical Limitations
We aim to maintain a reliable application, but cannot guarantee uninterrupted or error-free operation.
Application performance may depend on:
- Hardware and microphone capabilities.
- Operating-system compatibility.
- Audio-file format and quality.
- Background noise and recording conditions.
- Available device storage and processing resources.
To the extent permitted by law, NEXPER does not guarantee that NAAD will meet every individual musical learning objective or technical requirement.
15. Australian Consumer Law
Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded, restricted or modified.
This includes rights under the Australian Consumer Law.
Where applicable consumer guarantees are not met, users may be entitled to remedies including repair, replacement, refund or compensation in accordance with applicable law.
Any limitations or disclaimers in these Terms operate only to the extent permitted by law.
16. Limitation of Liability
To the maximum extent permitted by applicable law, NEXPER is not liable for losses arising from circumstances outside its reasonable control, including incompatible equipment, user misuse or unlawful use of third-party material.
NEXPER does not guarantee that use of NAAD will result in particular musical, professional or educational outcomes.
Nothing in these Terms limits or excludes liability where doing so would be unlawful, including liability arising under applicable consumer protection legislation.
17. Termination and Discontinuation
You may discontinue using NAAD at any time by uninstalling the application.
Where legally permitted, NEXPER may restrict or discontinue access to specific services in response to serious misuse, security threats, unlawful activity or material breaches of these Terms.
If future paid services are introduced, termination and cancellation conditions will be disclosed separately.
Discontinuation of application use does not automatically remove independently created backups or files exported outside the application.
18. Changes to These Terms
NEXPER may update these Terms to reflect changes in application functionality, business practices, legal requirements or available services.
The latest version will be made available through an official NAAD legal information page.
Each updated version will identify its effective date.
Where changes are material, we will provide appropriate notice and obtain renewed agreement where required by applicable law.
Continued use after an update does not override any requirement for express consent imposed by law.
19. Third-Party Platforms
NAAD may be distributed through Apple's App Store, Google Play or other authorised distribution channels.
Your use of the application may also be subject to the relevant platform's applicable terms and conditions.
For applications obtained from Apple's App Store, Apple's applicable end-user licence terms govern the licensed application unless a valid custom licence is provided.
Apple and Google are not parties to these Terms solely because they distribute NAAD.
20. Governing Law
These Terms are governed by the laws of New South Wales, Australia.
Nothing in this provision removes any mandatory consumer protection rights available to users under the laws of their jurisdiction.
